CONSIDERATIONS

The fact that Bonsucesso Têxtil is present in the national and international packaging market and that the participation of its Suppliers in different business units, geographical regions and cultures, which constitute globalized and competitive markets, requires transparent and ethical standards of action and compliance with different legal systems.

That reputation and credibility are important assets that Bonsucesso Têxtil has, and the ethical principles that guide its actions contribute to maintaining its image as a solid and reliable entity in the eyes of our Suppliers, Customers and Employees in general. Bonsucesso Têxtils interest in sharing our values and principles and guiding our Suppliers and their value chain on the main guidelines that guide Bonsucesso Têxtils relationship with its Suppliers, to meet the current requirements of good corporate governance practices, always valuying ethics and transparency.

DECISIONS

Suppliers must be treated with the same respect in which Bonsucesso Têxtil expects to be treated. Derogatory and unfounded public statements by Bonsucesso Têxtil Members that could affect the image of Bonsucesso Têxtil Suppliers are not tolerated.

To ensure that the image of Bonsucesso Têxtil as a solid, respected and reliable entity is maintained, it is essential that these principles are also practiced by the Suppliers with whom Bonsucesso Têxtil has business relations.

The purpose of this Code of Conduct is to convey the values and behavior expected of each Supplier. This document was inspired by widely accepted documents, ranging from the Universal Declaration of Human Rights of the United Nations (UN) to procedures recommended by the International Labor Organization (ILO), as well as the sectoral laws and regulations of various countries.

GUIDELINES

All suppliers, business partners, consumers and all individuals and companies that have a relationship with Bonsucesso Têxtil must conduct their business in a manner consistent with the guidelines of this Code. All these values are also applicable to Bonsucesso Têxtil Members.

ABOUT BUSINESS INTEGRITY

When carrying out its activities, Bonsucesso Têxtil expects its Suppliers to behave honestly, with dignity, in strict compliance with applicable laws, respecting human rights, the environment and society's ethical standards.

In their business actions, Suppliers must comply with all applicable laws and regulations of each country or region in which they operate, including, but not limited to, tranding cases of products and services, hazardous materials, air emissions, waste and discharge of production debris, transportation, storage, handling and release of these materials into the environment.

Everyone must uphold the spirit of the Laws and Regulations, observing the highest standards of honesty and integrity, preventing even the appearance of impropriety.

This responsibility also involves taking the appropriate measures when they become aware of irregularities practiced by third parties that may compromise the name or interests of Bonsucesso Têxtil.

Bonsucesso Têxtil expects all company matters, without exception, to be handled by its Suppliers with secrecy, confidentiality and protection of Bonsucesso Têxtil's intellectual property rights. Access to Bonsucesso Têxtil's information must be limited to those who need to receive the information and only use it for the specific purpose of supplying or providing the service.

Bonsucesso Têxtil prohibits any practice of corruption, bribery, extortion and fraud.

Bonsucesso Têxtil Suppliers must not offer, promise, grant or authorize any illegal, improper, dubious payment or confer benefits to Bonsucesso Têxtil Members, public officials, equivalents or any individual, either directly or through third parties to improperly influence any act or decision to promote the interests of any nature of Bonsucesso Têxtil.

Bonsucesso Têxtil advises its Suppliers to be aware of and act based on international covenants, agreements, treaties and conventions such as the Universal Declaration of Human Rights of the United Nations (UN), as well as documents of the International Labor Organization (ILO).

ABOUT UNIVERSAL HUMAN RIGHTS

Bonsucesso Têxtil expects cordiality in its dealings, trust, respect and dignified and honest conduct in relations between its Members and Suppliers' employees, regardless of any hierarchical position, job title or function.

HARASSMENT

Bonsucesso Têxtil Suppliers must treat all their employees with respect and dignity. No worker should be subjected to corporal punishment, abuse or harassment of any kind, including, but not limited to, women.

DISCRIMINATION

Bonsucesso Têxtil Suppliers must not discriminate on the grounds of race, color, sex, national origin, religion, disability, marital status, sexual orientation, union membership or party affiliation during their hiring, remuneration, access to training, promotion, dismissal or retirement processes.

REGARDING LABOR PRACTICES

Bonsucesso Têxtil respects and promotes human rights in all its activities throughout its production chain. Therefore, Bonsucesso Têxtil seeks to establish business relationships with suppliers who respect human rights and share our labor principles and values listed below:

USE OF FORCED AND/OR CHILD LABOR, SEXUAL EXPLOITATION OF CHILDREN AND ADOLESCENTS AND HUMAN TRAFFICKING

Bonsucesso Têxtil Suppliers must not tolerate, allow or agree to the use of forced and/or child labour, the sexual exploitation of children and adolescents and human trafficking in any process related to the Company's activities.

Bonsucesso Têxtil will not enter into a commercial relationship with Suppliers that use irregular and/or illegal child and adolescent labor practices and those analogous to forced or compulsory labor, the sexual exploitation of children and adolescents and human trafficking.

WORKING CONDITIONS

Bonsucesso Têxtil Suppliers must ensure that their employees have decent working conditions, including reasonable working hours and adherence to health and safety regulations, while always respecting the labor legislation of their respective work locations.

POLITICAL ACTIVITIES AND FREE ASSOCIATION

Bonsucesso Têxtil is a non-partisan institution and respects the individual rights of its Members and contractors regarding their political and trade union involvement. Bonsucesso Têxtil therefore expects its suppliers to recognize freedom of association and collective bargaining agreements.

SALARIES AND BENEFITS

Bonsucesso Têxtil suppliers must comply with all legal requirements regarding worker salaries and benefits. Furthermore, suppliers should carefully select business partners who operate by the labor laws of their operating locations and adhere to ethical standards consistent with the principles outlined herein.

REGARDING HEALTH AND SAFETY

Bonsucesso Têxtil considers safety an essential value that should shape attitudes, behaviors, and daily decisions. People are the primary factor that propels Bonsucesso Têxtil towards business excellence. Consequently, ensuring their safety and well-being is always paramount.

THEREFORE, Bonsucesso Têxtil SUPPLIERS MUST:

- Provide employees with a working environment that offers suitable physical and psychological conditions for performing their duties.

- Maintain a zero-tolerance approach towards uncontrolled risks and all types of accidents, especially workplace accidents.

- Adhere to the legislation of each operating location when mandatory, align with Bonsucesso Têxtil's Sustainability Policy commitments, and understand and comply with requirements related to occupational safety and employee health, as well as those of all individuals directly involved in contracted activities.

- Understand and follow Bonsucesso Têxtil's health and safety guidelines, which include:

- Promptly addressing and managing any identified risk scenarios.

- Issuing work permits at service sites when applicable and implementing all necessary safety measures.

- Performing activities only under safe conditions and refusing to proceed if any indication of unsafety arises.

- Using Personal Protective Equipment (PPE) and appropriate tools for all activities.

- Allowing only qualified and suitable individuals to perform critical activities.

- Ensuring the isolation and blocking of hazardous energy sources.

- Disabling safety instrumented systems and alarms only with formal authorization.

- Record, report, and investigate 100% of accidents and all incidents with a high seriousness potential.

THE ENVIRONMENT

The balance of the environment and nature conservation within the industrial units, offices, and throughout the entire value chain is of fundamental importance to Bonsucesso Têxtil's business activities. Bonsucesso Têxtil actively participates in the protection of ecosystems where its industrial units are located. This involvement is demonstrated through careful manufacturing processes, waste material recycling, responsible product handling and transportation, the prevention of natural resource waste, and the promotion of preservation campaigns aimed at raising awareness among the entire team.

Bonsucesso Têxtil expects all its suppliers to:

- Comply with environmental legislation relevant to their products and services.

- Familiarize themselves with all environmental policies and procedures adopted by Bonsucesso Têxtil and adhere to them when applicable.

- Identify hazards, assess risks, and, when necessary, notify Bonsucesso Têxtil before initiating corrective and preventive actions.

- Immediately report any environmental accidents or incidents (such as leaks or emissions exceeding compliance standards) to Bonsucesso Têxtil and the local public authority responsible, enabling investigations into the causes and the initiation of corrective and preventive actions.

- Contribute to ecologically sustainable development by continually seeking to reduce the environmental impact of their inputs, operations, products, and services.

Communication of the Code of Conduct

It is the responsibility of Bonsucesso Têxtil's Suppliers to communicate this Code and disseminate the values outlined in its provisions to their leaders, members, and other Suppliers. They should ensure that the ethical principles mentioned here are effectively practiced throughout the company and its value chain.

Monitoring and Evaluation

Bonsucesso Têxtil monitors the development and performance of its Suppliers. The purpose of this assessment is to support management improvement and strengthen the partnership between Bonsucesso Têxtil and its suppliers. Therefore, suppliers must contribute to the management of their contracts by providing information and facilitating visits to their companies at pre-agreed times and dates.

REGARDING VIOLATIONS

All Bonsucesso Têxtil suppliers are expected to comply with the guidelines outlined in this Code.

Bonsucesso Têxtil reserves the right to take any necessary action when a supplier violates any aspect of this Code. If a supplier becomes aware of or suspects that any aspect of this Code has been violated by any person, Bonsucesso Têxtil expects them to inform their contract manager or the Bonsucesso Têxtil Ethics Committee.

All reports are analyzed with strict confidentiality and independence to guarantee the anonymity of the reporters and ensure security during the investigation. Any retaliation against a supplier who, in good faith, reports concerns about illegal conduct or conduct that does not comply with the guidelines outlined in this Code of Conduct will not be permitted or tolerated.
